1. Introduction

Welcome to Intelli-Cash, a digital platform operated by Intelli-Wealth Limited ("Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your use of the Intelli-Cash platform, website, mobile applications, and related services (collectively, the "Service") designed for Village Savings and Loan Associations (VSLAs), chamas, agricultural cooperatives, and social groups in Africa.

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Definitions

  • "User" refers to any individual or organization accessing or using the Service
  • "Group" refers to VSLAs, chamas, agricultural cooperatives, or social groups using the platform
  • "Tenant" refers to registered groups or lending organizations on our multi-tenant platform
  • "Member" refers to individuals belonging to a registered Group
  • "Administrator" refers to designated users with administrative privileges within a Group
  • "Platform" refers to the Intelli-Cash software-as-a-service platform

3. Eligibility and Account Registration

3.1 Eligibility

  • You must be at least 18 years old to use this Service
  • Groups must be legally recognized VSLAs, chamas, cooperatives, or social groups
  • You must provide accurate, current, and complete information during registration
  • You must be authorized to represent your Group if registering on behalf of an organization

3.2 Account Security

  • You are responsible for maintaining the confidentiality of your account credentials
  • You must notify us immediately of any unauthorized use of your account
  • You are liable for all activities that occur under your account
  • We reserve the right to suspend or terminate accounts that violate these Terms

4. Service Description

4.1 Platform Features

Intelli-Cash provides:

  • Multi-tenant SaaS platform for financial cooperative management
  • Savings and loan cycle management for VSLAs and chamas
  • Social fund management capabilities
  • Integration with mobile money services (M-Pesa, KCB BUNI)
  • SMS notification services through Africa's Talking API
  • Multi-fund access for internal and external financing
  • Automated penalty and fine calculations
  • Real-time reporting and analytics

4.2 Service Availability

  • We strive to maintain 99.9% uptime but do not guarantee uninterrupted service
  • Scheduled maintenance will be communicated in advance
  • We are not liable for service interruptions due to third-party failures

5. Subscription and Payments

5.1 Subscription Plans

  • Service is provided on a subscription basis with various pricing tiers
  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are exclusive of applicable taxes unless otherwise stated

5.2 Payment Terms

  • Payment is due immediately upon subscription or renewal
  • We accept payments through approved mobile money services and bank transfers
  • Late payments may result in service suspension
  • No refunds for partial months or unused services

5.3 Price Changes

  • We reserve the right to modify subscription fees with 30 days' written notice
  • Continued use of the Service after price changes constitutes acceptance

6. User Responsibilities and Conduct

6.1 Acceptable Use

Users agree to:

  • Use the Service only for lawful purposes
  • Maintain accurate and up-to-date Group information
  • Comply with all applicable laws and regulations
  • Respect the rights and privacy of other Users and Members
  • Use the Service in accordance with its intended purpose

6.2 Prohibited Activities

Users must not:

  • Use the Service for fraudulent or illegal financial activities
  • Attempt to gain unauthorized access to other accounts or systems
  • Upload or transmit malicious software or harmful content
  • Interfere with or disrupt the Service's operation
  • Violate any applicable local, national, or international laws

7. Data Protection and Privacy

7.1 Data Collection and Use

  • We collect and process personal data in accordance with our Privacy Policy
  • We implement appropriate security measures to protect User data
  • Data is stored securely and accessed only by authorized personnel
  • We comply with applicable data protection laws including Kenya's Data Protection Act

7.2 Data Retention

  • We retain User data for as long as necessary to provide services
  • Data may be retained longer for legal, regulatory, or legitimate business purposes
  • Users may request data deletion subject to legal and contractual obligations

8. Third-Party Integrations

8.1 Mobile Money Services

  • Integration with M-Pesa, KCB BUNI, and other mobile money providers
  • Users are subject to third-party terms and conditions
  • We are not responsible for third-party service failures or charges

8.2 SMS Services

  • SMS notifications provided through Africa's Talking API
  • Standard SMS rates may apply
  • We cannot guarantee delivery of SMS messages

9. Intellectual Property

9.1 Our Rights

  • All intellectual property rights in the Service belong to Intelli-Wealth Limited
  • Users receive a limited, non-exclusive license to use the Service
  • Users may not copy, modify, or distribute our proprietary software

9.2 User Content

  • Users retain ownership of data and content uploaded to the Service
  • Users grant us a license to use, store, and process User content for service provision
  • Users are responsible for ensuring they have rights to upload content

10. Limitation of Liability

10.1 Service Disclaimers

  • The Service is provided "as is" without warranties of any kind
  • We do not guarantee the accuracy or completeness of financial calculations
  • We are not responsible for financial decisions made using the Service

10.2 Liability Limits

  • Our liability is limited to the amount paid for the Service in the preceding 12 months
  • We are not liable for indirect, incidental, or consequential damages
  • Some jurisdictions do not allow liability limitations, so these may not apply to you

11. Termination

11.1 Termination by Users

  • Users may terminate their subscription at any time with written notice
  • Termination is effective at the end of the current billing cycle
  • No refunds for unused portions of prepaid subscriptions

11.2 Termination by Us

We may terminate or suspend access immediately for:

  • Violation of these Terms
  • Non-payment of fees
  • Fraudulent or illegal activity
  • Extended periods of inactivity

11.3 Effect of Termination

  • Upon termination, access to the Service will cease
  • Users may download their data for 30 days after termination
  • We may delete User data after the retention period

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of Kenya without regard to conflict of law principles.

12.2 Dispute Resolution Process

  • Disputes should first be addressed through direct communication
  • Unresolved disputes will be subject to mediation
  • Final disputes will be resolved through arbitration in Nairobi, Kenya
  • Users waive the right to participate in class action lawsuits

13. General Provisions

13.1 Modifications

  • We may modify these Terms at any time with reasonable notice
  • Continued use of the Service constitutes acceptance of modified Terms
  • Material changes will be communicated via email or platform notification

13.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force.

13.3 Assignment

  • Users may not assign these Terms without our written consent
  • We may assign these Terms to affiliates or in connection with a business transfer

13.4 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.

15. Acknowledgment

By using the Intelli-Cash Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. These Terms constitute the entire agreement between you and Intelli-Wealth Limited regarding the use of the Service.
